01The Services

Terrabase provides a cloud-based Platform that collects data from Customer systems through integrations and manual uploads to enable workflow automation, data processing, and analytics. The Website provides information about Terrabase and enables users to log in to the Platform and contact Terrabase regarding the Services.

We may update, modify, or discontinue features of the Services at any time. We will use reasonable efforts to notify Customers of material changes that affect their use of the Platform.

02Accounts and Access

To use the Platform, you must create an Account with accurate and complete information, including your full name and email address. You are responsible for maintaining the confidentiality of your username and password and for all activity under your Account.

You may sign in using Single Sign-On ("SSO") services such as Google. By using SSO, you authorize Terrabase to access information made available by your SSO provider in accordance with your SSO privacy settings.

You must promptly notify Terrabase at support@terrabase.ai of any unauthorized use of your Account or any other breach of security.

03Customer Data and Authorized Users

Customers may authorize employees and other individuals ("Authorized Users") to access the Platform on their behalf. Customers are responsible for ensuring Authorized Users comply with these Terms and applicable law.

Customer data processed through the Platform remains the property of the Customer. Terrabase processes Customer data solely to provide the Services as described in our Privacy Policy and any applicable data processing agreement.

Authorized Users who enable Third-Party Service integrations are responsible for reviewing the privacy settings and terms of those services and understanding what data may be shared with Terrabase.

04Acceptable Use

You agree not to misuse the Website or Platform. Prohibited activities include, without limitation: attempting to gain unauthorized access to the Platform or related systems; interfering with or disrupting the Services; uploading malicious code; using the Services in violation of applicable law; or using the Services to infringe the rights of others.

We reserve the right to investigate violations and suspend or terminate access to the Services where we reasonably believe a violation has occurred.

05Intellectual Property

Terrabase and its licensors retain all rights, title, and interest in the Website, Platform, and Services, including all software, documentation, trademarks, and other intellectual property. These Terms do not grant you any ownership rights in the Services.

You may provide feedback, comments, or suggestions regarding the Services. Terrabase may use such feedback without restriction or compensation to you.

06Third-Party Services and Links

The Platform may integrate with or link to third-party websites and services. Terrabase is not responsible for the content, privacy practices, or terms of third-party services. Your use of Third-Party Services is subject to their respective terms and policies.

07Communications and Marketing

By registering for our newsletter or submitting a contact form, you consent to receive communications from Terrabase related to the Services. You may opt out of marketing communications at any time by contacting support@terrabase.ai.

08Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Terrabase does not warrant that the Services will be uninterrupted, error-free, or completely secure.

09Limitation of Liability

To the maximum extent permitted by law, Terrabase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services.

Terrabase's total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amounts paid by you or your Customer to Terrabase for the Services in the twelve (12) months preceding the claim.

10Indemnification

You agree to indemnify and hold harmless Terrabase and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or as required by law. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12Governing Law and Disputes

These Terms shall be governed and interpreted pursuant to the laws of the State of New York, without regard to its conflict of law principles. You agree that any disputes shall be subject to the exclusive jurisdiction of the courts located in New York, United States.

13Changes to These Terms

We reserve the right to update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
